Investors spoke and Keurig Dr Pepper listened. Faced with investor backlash over strategic plan announced in Aug to acquire JDE Peet's and then split into coffee and beverage cos, KDP today said it's brought in private-equity giants Apollo and KKR to help rejigger deal even as it trotted out its smooth-talking chmn Bob Gamgort to close case to investors and analysts gathered in NY this morning. The ploy seemed to help: shares popped over 7% in trading late today, recovering roughly half the stock's erosion since Aug announcement. Meanwhile, as testimony to underlying strength of each co's fundamentals, KDP reported a strong Q3 performance even as JDE Peet's said it's on track to hit its fiscal year 2026 targets. Among nuggets of news contained in presentations today, execs confirmed that KDP for first time will launch coffee line that employs Keurig name, The Keurig Collective, with elevated packaging, 30% more coffee in each cup and distinctive blends. New Deal Knocks Down Leverage; CFO Priyadarshi No Longer Seen as Coffee Co CEO The revamped transaction first. "We heard your feedback, we certainly noted the market reaction," Gamgort candidly allowed. "We recognize we need to change some of the executional elements." Now Apollo and KKR are coming in with investments totaling $7 bil that will assuage investors' apprehension by knocking down leverage ratio from 5.6X at acquisition closing to 4.6X. As part of complex transaction, the PE giants will invest $4 bil in joint venture being set up to contain K-Cup mfg assets, with participation from Goldman Sachs Alternatives. KDP assured investors it will retain a controlling interest and operational control of assets that are key to coffee co's identity. The other $3 bil will be via convertible preferred shares in KDP and eventually the separated Beverage Co. The two transactions should reinforce co's investment-grade profile while pairing it up with "world-class investors" at reasonable cost, svp Jane Gelfand told investors.Execs are holding to general timetable that should see JDE acquisition closing in first half of next year and merged co "ready" for separation by year-end, even if that separation doesn't necessarily get concluded within calendar year as previously envisioned.World Has Changed in 7 Years As we&#39;ve noted before, Gamgort seems to have forgotten his rhetoric about paradigm-busting thesis that accompanied KGM and DPSG merger 7 years ago, today basically describing merger as one that put together "two sub-scale beverage companies to create a beverage challenger of scale." In other words, his current rationale for KGM/DPSG merger is no different than that of numerous other CPG mergers during same era, some of which today are being similarly unwound. Since the 2 cos were combined, "a lot has changed in the world" and it's become "necessary and natural for us to evolve our strategy as well."Still, Gamgort reiterated that coffee remains attractive biz, surmounting seeming challenges over the decades from Diet Coke and from energy drinks and weathering punishing pricing cycles of coffee beans. Meanwhile, experience since KGM/DPSG merger has demonstrated that leaders can generate substantial cash flows and unleash synergies that allow it to rapidly pay down debt to more manageable proportions.Among other elements today, KDP dropped plan to have CFO/Int'l prexy Sudhanshu Priyadarshi assume CEO role at Global Coffee Co once separation occurs. Rather it's begun a formal process to seek best leader, along with additional board members to populate separate directorships at the two cos. Cofer continues to be the choice to lead Beverage Co. In near term, KDP is adding to its board Brian Driscoll, currently chmn of Acosta Group. In preparation for suite of transactions, last month it named 9-yr KDP vet Roger Johnson as chief transformation & supply chain officer.In Quiet Zone: Priyadarshi, JAB Holdings, Coffee RTDs It's worth noting several topics that drew no direct comment in 3+ hrs of presentations and q&a. No specific comment on why Priyadarshi was dropped as anointed Coffee Co leader. A capable steward of both KDP's finance and international biz functions, roles he'll continue to play, it's possible he simply was deemed not to carry the star power that might excite investors. No reference either that we heard to JAB Holdings, an investor in both JDE and KDP whom some investors viewed as the real impetus behind the twin transactions, as an offramp from its JDE investment. And while it rates as minor issue, no mention of how RTD coffee brands will be divvied up once split occurs: after all, they would seem to be valued parts of both Coffee Co and Bev Co.KDP Enjoys Nearly 11% Sales Lift in Q3 Thanks to LRBs With the focus on pending transactions, quarterly results didn't receive the abundant color they usually get from leadership. Still, it was another strong period for LRBs while Keurig coffee biz shows signs of turning around, despite headwinds associated with weak coffee crop and Trump tariffs. Net sales rose 10.7% to $4.3 bil, +10.6% excluding minor foreign exchange impact, on 6.4% volume/mix growth and 4.2% of net price realization. Acquisition of Ghost supplement/energy drink co accounted for 4.4 pts of volume/mix growth. Gross margin narrowed a bit to 54.3% from 55%. Adjusted operating income rose 3.8% to $1.1 bil.In US Refreshment Bev arm that will constitute core of forthcoming Beverage Co, net sales in Q3 soared 14.4% to $2.7 bill on 11.2% volume/mix growth and 3.2% net price realization, with co claiming share gains in CSDs, energy and sports hydration. Ghost pickup contributed 7.2 points to volume/mix growth. Adjusted operating income rose 10% to $816 mil. Among innovations cited today, Canada Dry will augment its successful Cherry Fruit Splash extension with Strawberry flavor for 2026, per unit chief Eric Gorli. He also pointed to renewed focus being given to Snapple via new campaign and return of iconic widemouth glass bottle, as we've been reporting.US Coffee arm that will be combined with JDE Peet's into Coffee Co nudged sales up 1.5% to $991 mil in Q3, with 5.5% price realization partly offset by volume/mix decline of 4%. Price hikes on K-Cups boosted top line but both pod and brewer shipments declined. Adjusted operating income rose 2.6% to $317 mil. As noted, Keurig Coffee Collective reps first time that familiar brand name has been enlisted for consumable item. Recall that years ago, before partnership with La Colombe, while KDP was still floundering in RTD coffee segment, some had suggested harnessing beloved Keurig or Green Mountain marques for internally developed entry. But they never arrived.International div, mainly Canada and Mexico, enjoyed 10.5% increase in net sales, +10.1%, on constant-currency basis, balanced between price realization of 6.1% and volume/mix growth of 4%. Performance was led by Penafiel mineral water in Mexico and single-serve coffee in Canada. Adjusted operating income slipped 4.3% to $155 mil because of inflationary pressures.JDE Peet's Says Revitalization Program Scorin' Wins Already Amsterdam-based coffee giant reported continued progress on its "Reignite the Amazing" revitalization program while saying it's on track to achieve 2025 outlook it had outlined in late Jul. Among promising proof points that Cofer cited this morning, more agile co was able to ride Dubai Chocolate phenomenon by quickly launching such items across 20 markets and multiple brands. Among US components of "Amazing" program launched in Jul, JDE has given up using French brand L'Or as platform for pod play via Barista line, instead integrating US capsules biz into American brand Peet's. At same time, Peet's has abandoned longstanding DSD route to market in favor of "direct central distribution" model, transition that's expected to be completed by the end of first half of 2026 fiscal year. Recall that at one point Peet's even wielded refrigerated DSD system in Calif and beyond under Cold Craft name. And as part of production optimization plan, JDE shuttered a plant in northeast part of US, as well as one in Brazil.One brand that should dramatically benefit from combo with Keurig is SF-based Peet's. For all its rich heritage and strong brand awareness, its market penetration is concentrated in West Coast, mainly Calif, and its commercial execution "meaningfully lags Keurig's," Cofer said. As a combined entity it should get a big boost from Keurig's scale and customer relationships, which confer almost 4X the feature and display activity that Peet's does currently.
