Long-running dispute between AB and CT-based distrib Dichello ain't quite over yet. Tho the pair of cos told fed ct on eve of a trial in July 2024 that they had a tentative settlement drawn up to resolve set of lawsuits first filed in 2020, it ultimately dissolved over a yr later. Turns out, one of the "conditions" the settlement was "contingent" on was Dichello closing a deal to sell the biz to Northeast Beverage (Mancini) by early Oct, according to copy of the modified settlement agreement filed with ct. But that didn't happen. Instead, the long-feuding distrib and supplier jointly asked ct to enter a judgment in favor of AB, Dichello paid the brewer $2 mil and now AB could terminate the distrib, docs show. After 5+ Yrs, Dispute Enters New Stage, Heads to 2nd Circuit; State Proceedings? Dichello is doing what it can to interrupt that process, including asking 2nd Circuit Ct of Appeals to reverse a recent ruling by Dist Ct Judge Michael Shea. But that prior case is basically closed. Judge Shea dismissed many of the distrib's claims all the way back in 2021, before ultimately siding with AB in early 2024 that neither the equity agreement (EA) itself nor the brewer's dealings with Dichello violate state law, but that Dichello was liable for lost sales caused by various breaches of the EA.Stipulation filed in Oct after deal with Mancini fell thru set those liabilities at $2 mil and closed the case. But on same day the parties filed that joint motion, AB also asked the court to modify the protective order in place from the fed case's outset. It wants to be able to use materials discovered during the fed case during separate administrative hearings between the parties, it told the ct.What sort of hearings? Franchise termination proceedings before the state. "In retaliation for the lack of consummation of a sale of Dichello's business, AB has threatened to initiate proceedings to terminate Dichello's distributorship," the distrib wrote in Oct. "AB's motion discloses that it seeks to use the protected material in an effort to terminate," it continued, pleading with ct to deny AB's request. No dice. Judge once more ruled for AB in early Nov. That's ruling Dichello now seeks to reverse, notifying the ct last wk of an appeal to the 2nd Circuit."Unrealistic" Not to See Potential of Termination in Judge's View Dichello sez it negotiated the settlement believing the protective order would protect it from AB using deposition testimony and other facts turned up in the case elsewhere, the judge noted. But "any such belief was unrealistic. The possibility of franchise-termination proceedings&hellip;cannot come as a surprise to Dichello in light of the parties' acrimonious relationship," Judge Shea wrote. Ultimately, barring either party from using any of the materials found during this lengthy dispute "would just lend assistance to witnesses who were inclined to lie" before the state liquor commission, in the judge's view.No Terminations Since Maris;Would It Stick? Multiple Forced Exits; If such proceedings are in fact where this dispute is headed, it would be the first time AB has actually attempted to terminate one of its distribs since the Maris ordeal that led to blockbuster trial in 2001 and protracted aftermath. But the alleged threat comes at same time the brewer is flexing legal (and other) muscles with many distribs in its network, forcing sales of a slew of smaller houses based on breaches of the EA related to Busch Light Peach. Those sales helped drive the above-average number of distrib deals in AB network this yr at same time co turned heads with growing number of wine & spirits houses handling its brands, not least of all Southern Glazer's, which acquired AB's branch in NYC. How many more moves are yet to come and how aggressive will AB get to make 'em?Dichello and AB's relationship has been "acrimonious," as the judge put it (mildly, by the way), for many years. But even in early 2024, "at no point in time have we ever, ever threatened to terminate" Dichello, AB's atty said at a fed ct hearing in this dispute, as we wrote at the time. By then, everyone agreed that the distrib was in violation of certain contested provisions of the EA. But "they can't get rid of you," the judge told Dichello's atty.A brewer has to show "just and sufficient cause" to the state, which Judge Shea guessed is "not so easy to show," even going so far as to presume "threats [of termination] are empty." But again, the judge determined that the EA does not violate state law and the dispute confirmed that the distrib wasn't exactly following it to the letter. So AB may be betting that evidence in this case will give it a far better shot at showing cause to the state regulators who review attempts to terminate.
