Signs have been pointing this way for some time, and now it's official: BrewDog is up for sale amid significant financial challenges. News broke over the weekend that co appointed AlixPartners "to support a structured and competitive process to evaluate the next phase of investment in the business," BrewDog statement acknowledged after many news outlets jumped on the story. "This is a deliberate and disciplined step with a focus on strengthening the long-term future of the BrewDog brand and its operations," co added. Potential BrewDog sale has been one of the more widely covered beer stories in a while, as Sky News broke the news, story was picked up by slew of UK papers led by Financial Times, BBC, The Independent, and The Guardian among others, as well as several stateside shops like Inc 5000, Columbus Biz Journal, InsideHook and MSN. Sales process involves its "three business areas: its brands, its brewing capacity and its pub estate," wrote FT. Co has 4 production breweries, one sour facility and 72 bars globally, mostly in the UK, plus various franchised locations. It's almost a full decade since TSG private equity firm first acquired a minority stake, just ~22% initially for &pound;213 mil (then about $260 mil USD) in Apr 2017, implying a wild valuation of $1.25 bil at the time. But TSG stake ballooned to &pound;700 mil valuation thanks to 18% compounding interest clause (see Jul 1, 2025 issue). A period of impressive global growth and capital raises was followed by highly-profiled fallout with founders James Watt and Martin Dickie (the latter to a lesser extent) amid spotlight on corporate culture gone awry while operational losses mounted. Leadership changes and layoffs were made, taprooms and other assets sunsetted, and more recently, sales began to decline too.TSG is no stranger to the beer biz and the rollercoaster rides its investments in the space have taken 'em. It was able to exit SweetWater and Pabst investments but is likely gonna have to take big write-down on this one having acquired the brewer at such a frothy value. It's nowhere near that initial valuation nowadays. Over 200K of BrewDog's crowdfund investors are likely to get "punked" on any real return in the process after all, widespread coverage indicates. Then too, BrewDog co-founder James Watt was recently rumored to be "considering" reacquiring the company after departing May 2024. But if TSG is lookin' for the biggest return on its investment possible, bigger entities are likely to be in play. Co expects "substantial interest" from potential buyers, spokesperson told papers separately.BrewDog is still a big biz with global reach, finishing 2024 at &pound;357 mil, and peaked over 10 mil cases. It remains "a global pioneer in craft beer," as co put it, and #1 craft in UK with 4 share of total beer sales in grocery chains. But it still posted a &pound;36.6 mil pre-tax loss in 2024 and continued to face myriad challenges in 2025 and beyond. While it still had 1400 employees across the org, many employees are voicing their concerns about their job security if a sale were to occur.What's it Mean for the US? BrewDog USA Down Double Digits in Scans, Losing $$ on Ops Here BrewDog USA is a much smaller piece of BrewDog's biz overall, around 13% of revs and closer to 12% of volume in 2024 before goin' backwards in 2025 as it pared back operations lately too, seeking a more profitable path forward. Recall, BrewDog USA sales were down double digits last year and saw operating loss increases thru first half (see Dec 2 issue). More recently it closed two taprooms in Columbus, OH while pulling back distribution from more states too. Co also lost a bunch of contract volume last yr as Garage Beer moved brewing from BrewDog USA to Founders. Prospect of new ownership for BrewDog globally raises legit questions about future of its US biz, where it's made a solid imprint in home mkt OH in particular, but continues to pull back elsewhere. BrewDog initially spent $30 mil on its 100K sq-ft facility in Columbus, OH. Yet it&#39;s biz as usual for now, both in US and globally.
